These terms and conditions set out the full obligations of the parties. They form the sole basis of the commercial relationship between the parties; accordingly, the buyer (referred to as the "client") is deemed to accept them without reservation. In the context of a training programme, the client is referred to as the "participant".

Registration and pricing

Before registering, the client must ensure that they, or the participants they are enrolling, meet the prerequisites set out in the training programme description. Product Move shall in no way be held liable for any mismatch between the training delivered and a participant's level due to unmet prerequisites.

Any registration constitutes acceptance of the prices and description of the training programme offered. Registration is confirmed upon receipt, no later than 10 working days before the scheduled start date, of completed and signed enrolment forms, an accepted quotation, or a signed training agreement.

In all cases, Product Move will send the client a notice of convocation with access instructions and training schedule. Product Move cannot be held responsible if the convocation is not received, in particular if a participant fails to attend. During each training session, participants must sign the attendance sheet, which is the sole proof of their participation. Absence of signature is treated as non-attendance.

Our continuing professional development training fees are exempt from VAT pursuant to Article 261-4-4 of the French General Tax Code.

The cost of training does not include ancillary expenses (meals, travel, etc.), which remain the responsibility of the participant.

Online and remote training

Before registering, the client must verify that they, or the participants they are enrolling, will have access to the technical resources required to follow the training on the scheduled date:

  • A recently updated computer or tablet
  • A stable internet connection capable of streaming video and displaying documents
  • Speakers or headphones
  • A webcam for virtual classroom sessions

Failure to have these resources on the day of the session will not entitle the client to a refund or any compensation.

On the day of the training, the client undertakes to carry out a connection test before the session begins.

The specific technical requirements will be communicated by the training centre depending on the nature and modalities of the training. Product Move accepts no liability in the event of technical failure of equipment or internet provider.

Payment

Payment for training must be made within a maximum of 30 days from the invoice date, in full and without discount, payable to Product Move.

It is the client's responsibility to apply in advance for any funding from their OPCO (skills operator) where applicable.

If no OPCO funding is obtained, Product Move will invoice the client for the full cost of the training.

In the case of partial OPCO funding, Product Move will invoice the client for the difference between the total training cost and the amount covered by the OPCO.

Only hours of training actually attended by participants may be covered by the OPCO; unattended hours will be invoiced directly to the client and are payable upon receipt of the invoice.

For individually funded training: a deposit of no more than 30% of the training price will be requested after expiry of the withdrawal period (10 days from the date of signing the contract; 14 days for contracts concluded remotely or off-premises). The remaining balance is to be paid in instalments as the training progresses.

Cancellation conditions

General rule

Any cancellation by the client of their participation or that of their participants:

  • between 10 and 5 working days before the start of training: 50% of the training cost will be invoiced;
  • fewer than 5 working days before the start of training: 80% of the training cost will be invoiced.

Such invoices cannot be offset against the obligation to contribute to continuing professional development.

Any absence by the client or enrolled participants without prior cancellation under the above conditions will result in the training being invoiced in full. This invoice cannot be offset against the obligation to contribute to continuing professional development.

Likewise, any training that has begun is payable in full.

E-learning

Hours provided for in the agreement but not completed are invoiced in full to the client who signed the agreement.

CPF — Personal Training Account

For training booked through Mon compte formation using CPF entitlements, the General Terms and Conditions of the Caisse des Dépôts et Consignations apply and take precedence over these terms and conditions.

Individually funded training

Where a cancellation request is received by Product Move after the withdrawal period has expired and before the training begins, Product Move retains the deposit (or invoices it if not yet collected), unless force majeure applies. Once training has begun, if the client is unable to continue due to duly recognised force majeure, the contract is terminated by operation of law and the training services actually delivered are invoiced on a pro-rata basis, less any amounts already invoiced. In the absence of force majeure, once training has begun, any cancellation, withdrawal, or interruption results in the full training price being invoiced, less any amounts already invoiced and/or paid.

Cancellations and rescheduling by the training provider

Barring unforeseen circumstances, training dates are only confirmed from the date on which convocations are sent to the client. Until convocations are sent, optimising the pedagogical balance of sessions may result in changes to training dates. After convocations are sent, rescheduling may occur in circumstances beyond Product Move's control, such as last-minute cancellations by other participants.

In the event of a date change, the client may choose between a full refund of amounts paid or deferral to a future session. In the event of cancellation by Product Move, the client will receive a full refund of any training fees paid.

Communications

Unless the client objects, Product Move may mention the client company's name and logo, along with an objective description of the services provided, in its reference lists for internal and external communications purposes.

Confidentiality and intellectual property

The client undertakes not to use, reproduce (directly or indirectly, in whole or in part), adapt, modify, translate, represent, commercialise, or distribute to employees who did not participate in Product Move's training programmes or to third parties, any course materials or educational resources made available to them.

Disputes

In the event of a dispute, the parties undertake to seek an amicable resolution, including through mediation. Failing that, any dispute relating to the application, interpretation, or performance of these terms and conditions, or to payment, shall be brought before the competent civil or commercial court at the place where the training was delivered, or at Product Move's registered office in the case of e-learning.

Invoicing

In addition to the invoice, a certificate of completion — drawn up in accordance with copies of the attendance sheets (or connection logs for e-learning) — is sent to the client or their OPCO in the case of direct payment by the OPCO. Invoices correspond to hours completed in the relevant calendar year.

Late payment penalties: in accordance with Article L441-6 of the French Commercial Code, a penalty rate equal to three times the statutory interest rate will apply to all outstanding amounts. Pursuant to Article 121-II of Law no. 2012-387, a flat-rate recovery fee of €40 will be applied. If recovery costs exceed this amount, an additional indemnity may be claimed.
